Acceptable Use Policy

1. Overview
This Acceptable Use Policy ("AUP") governs your use of the ProcureLabs platform and all related services provided by ProcureLabs Pte. Ltd. (UEN: 202606070W). This AUP is incorporated by reference into our Terms of Service, Privacy Policy, and any Subscription Agreement, Pilot Agreement, or other agreement between you and ProcureLabs. By accessing or using the platform, you agree to comply with this AUP.
2. Permitted Use
ProcureLabs is designed for enterprise procurement intelligence — analytics, supplier management, spend analysis, contract management, and related business functions. You may use the platform for lawful business purposes consistent with the features described in your subscription plan and any applicable agreement.
You are responsible for all activity that occurs under your account and for ensuring that anyone who accesses the platform through your account complies with this AUP.
3. Prohibited Conduct
You must not use the platform to:
3.1 Legal and Regulatory Violations
- Violate any applicable law, regulation, or governmental order in any jurisdiction
- Facilitate bribery, corruption, money laundering, or sanctions violations
- Process personal data in breach of applicable data protection laws including the PDPA, GDPR, or CCPA
- Infringe upon the intellectual property rights, privacy, or other rights of any third party
3.2 Security and Integrity
- Upload, transmit, or distribute malicious code, viruses, worms, trojans, or any other harmful software
- Attempt to gain unauthorised access to any part of the platform, other accounts, or connected systems
- Probe, scan, or test the vulnerability of the platform or any related infrastructure
- Circumvent, disable, or interfere with security features, authentication mechanisms, or access controls
- Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the platform
3.3 Platform Abuse
- Use automated scripts, bots, or scrapers to access the platform without prior written authorisation
- Impose an unreasonable or disproportionately large load on platform infrastructure
- Interfere with or disrupt the platform's operation, performance, or availability for other users
- Share account credentials with unauthorised parties or allow access by anyone not covered by your subscription
- Transmit spam, chain messages, phishing attempts, or other unsolicited communications through the platform
3.4 Competitive and Commercial Misuse
- Use the platform for competitive benchmarking, comparative analysis, or product evaluation intended to develop a competing product or service without prior written consent from ProcureLabs
- Resell, sublicence, or redistribute access to the platform or any of its features without authorisation
- Use outputs generated by the platform (including AI-generated insights) to train competing machine learning models or AI systems
3.5 Content and Data
- Upload data that you do not have the right to process or that would cause ProcureLabs to breach any law
- Store classified, export-controlled, or sanctions-restricted data without appropriate agreements in place
- Deliberately upload false or misleading data with the intent of corrupting analytics or AI outputs
4. AI-Specific Usage Rules
ProcureLabs includes AI-powered features (collectively, "Sage") that generate insights, recommendations, and analytical outputs. When using these features, you must:
- Treat AI-generated outputs as decision-support tools, not as a substitute for professional judgment
- Verify material recommendations before acting on them, particularly for financial commitments, supplier decisions, or regulatory compliance matters
- Not rely on AI outputs as legal, financial, or audit advice
- Not attempt to manipulate AI features through prompt injection, adversarial inputs, or deliberate misrepresentation of data to produce misleading outputs

5. Rate Limits and Fair Use
To maintain platform performance and availability for all users, ProcureLabs enforces rate limits and fair-use thresholds. These include:
- API rate limits (currently 300 requests per minute per IP address, with per-route limits for resource-intensive endpoints)
- Data upload size limits as specified in your subscription plan
- Concurrent session limits based on your subscription tier
If your usage consistently exceeds fair-use thresholds, we will notify you and work with you to find an appropriate solution, which may include upgrading your plan.
6. Monitoring and Enforcement
ProcureLabs reserves the right (but is not obligated) to monitor use of the platform for compliance with this AUP. We may investigate suspected violations and take any action we deem appropriate, including:
- Issuing a warning and requesting corrective action within a specified timeframe
- Temporarily suspending access to all or part of the platform
- Permanently terminating your account
- Reporting conduct to relevant law enforcement authorities where required or appropriate
Where practical, we will provide reasonable notice before taking enforcement action, except where immediate action is necessary to protect the platform, other users, or comply with legal requirements.
7. Reporting Violations
If you become aware of any violation of this AUP, please report it to support@procure-labs.com. We take all reports seriously and will investigate promptly. Reports may be made anonymously where permitted by applicable law.
8. Changes to This Policy
We may update this AUP from time to time. Material changes will be communicated via email or a prominent notice on the platform at least thirty (30) days before they take effect. Continued use of the platform after changes become effective constitutes acceptance of the revised AUP. The current version is always available at this page.
