This Data Processing Agreement ("DPA") forms part of the Master Subscription Agreement ("Agreement") between ProcureLabs Pte. Ltd. ("Processor") and the entity subscribing to ProcureLabs services ("Controller"). Terms not defined herein shall have the meanings set forth in the Agreement or in Regulation (EU) 2016/679 ("GDPR").
The Processor shall process Personal Data solely for the purpose of providing the ProcureLabs procurement intelligence platform services as described in the Agreement. Categories of data subjects include Controller's employees, consultants, and authorized users. Categories of Personal Data include names, email addresses, job titles, organizational roles, IP addresses, and usage analytics.
The Controller grants general authorization for the Processor to engage sub-processors listed below. The Processor shall notify the Controller at least 30 days before adding or replacing sub-processors.
The DocuSeal pilot entry is expressly excluded from the general authorization for listed client subprocessors above. Signing the vendor DPA, publishing this disclosure, a successful pilot or an administrator setting does not by itself authorize client processing or overseas transfers.
| Sub-processor | Purpose | Location |
|---|---|---|
| DocuSeal LLC | Electronic signing and signature-audit retrieval for fictional pilot agreements with specifically authorized own-mailbox signers only; not approved for client agreements or tender documents. | Vendor agreement: EU hosting (AWS Ireland); overseas support access and identified non-EEA subprocessors permitted under vendor terms |
| DocuSign | Optional contract and NDA electronic signing | Configured account region; transaction data may be processed across regions |
| Amazon Web Services (AWS) | Cloud hosting and infrastructure; Amazon Bedrock is active as a primary Claude route for authorized AI workloads. | Core application compute: Singapore (ap-southeast-1). Active Bedrock inference: EU geographic profiles through Ireland, with execution across the EU regions in the profile. AI inference is separate from Singapore hosting. |
| Microsoft (Azure OpenAI) | Configured primary route for authorized GPT chat and text embeddings. Standard abuse-monitoring retention applies; modified abuse monitoring and zero data retention have not been approved. | European Union: Sweden Central resource; regional and EU Data Zone inference. Supplier service and support terms also apply. |
| Supabase Inc. | Database and authentication | Singapore (AWS ap-southeast-1) |
| Stripe Inc. | Payment processing | US |
| Anthropic PBC | AI language model processing | US |
| OpenAI Inc. | AI language model processing | Account and project processing region: verification required before use |
| Google LLC | AI language model processing (Gemini), website analytics with consent, optional key management | US |
| Inngest Inc. | Background job orchestration | US |
| Sentry Inc. | Error monitoring | US |
| Resend Inc. | Transactional email delivery | US |
DocuSign production integration approval and the applicable data protection agreement have not yet been confirmed. Confirm the sending account region before enabling this signing option.
Current as of the date above. See /subprocessors for the live list.
OpenAI supports chat, analysis and bounded Decisions judgements for tool selection and procurement evidence. Subject to current customer permission and the agreed regional configuration, Decisions receives minimised, redacted context and questions for the permitted purpose. OpenAI API data is not used for model training unless explicitly opted in. Decisions can retain encrypted prompt-cache state for up to 24 hours and standard abuse-monitoring logs for up to 30 days, subject to applicable security, safety or legal exceptions.
Decisions processing requires current customer instructions and permission for the specific purpose, account, processor and US transfer. Disabling AI or withdrawing the applicable authority prevents new Decisions requests. Consequential actions remain subject to the required safeguards and independent review.
Prepared for a synthetic-only production pilot; not activated. Client-data processing through DocuSeal remains disabled pending whole-workflow validation and the required separate written authorizations.
This service-specific disclosure is currently provided in English.
ProcureLabs signed the DocuSeal EU Data Processing Agreement on 14 October 2026, using the version dated 28 August 2026. It applies to docuseal.eu services; it does not establish coverage for a global DocuSeal account or approval by any client.
Pilot signers’ actual names, email addresses, signatures or initials, signing timestamps, IP addresses and browser/device information may be processed. Fictional agreement contents do not make the signers’ personal data fictional. SMS and optional identity-verification services are outside this pilot.
The vendor agreement provides EU hosting, currently AWS Ireland, but permits identified non-EEA subprocessors and necessary overseas support, maintenance, security and continuity access. This is not an EU-only processing commitment. The complete processing/access-country inventory and onward-transfer assessment remain prerequisites for client use.
DocuSeal’s terms provide at least 14 days’ advance notice of onward-subprocessor changes and breach notification without undue delay, without a fixed hourly maximum. Those vendor terms do not shorten ProcureLabs’ applicable client notice periods or incident-notification deadlines.
The vendor terms provide ordinary deletion within 60 days of the specified termination, expiry, account-closure or written-request trigger, subject to routine backup/log/security retention and legal-claim or fraud/abuse exceptions. A fixed maximum for all retained copies has not been verified. These terms do not extend any shorter client deletion or backup deadline.
Under the vendor agreement, DocuSeal processes agreement and signature data on instructions, but acts as an independent controller for account and usage data. The agreement also permits aggregated, de-identified or anonymized information use. This notice does not assert a blanket no-secondary-use commitment or authorize reuse of client data.
Existing signed client agreements and mandatory legal protections remain unchanged, including any stricter hosting/access restrictions, prior written approval, advance notice, incident reporting, deletion, backup, audit and no-reuse obligations. No service-specific exception or client amendment is adopted by this notice.
Before client activation, ProcureLabs must validate the complete workflow, reconcile vendor terms with each applicable client agreement, verify locations, safeguards, security and retention controls, and obtain the required written instructions and approvals.
Where Personal Data is transferred outside the European Economic Area, the Processor shall ensure adequate safeguards are in place, including: (a) EU Standard Contractual Clauses (Module 2: Controller to Processor) as approved by Commission Implementing Decision (EU) 2021/914; (b) binding corporate rules where applicable; or (c) transfers to countries with an adequacy decision by the European Commission.
The Processor shall notify the Controller without undue delay and in any event within 72 hours after becoming aware of a Personal Data breach. Notification shall include: (a) the nature of the breach including approximate number of data subjects affected; (b) the likely consequences of the breach; (c) measures taken or proposed to address the breach; (d) contact information for the Processor's data protection point of contact.
The Processor shall assist the Controller in fulfilling its obligations to respond to data subject requests within 30 calendar days. The platform provides self-service data export and account deletion (Settings > Account), and access review capabilities.
The Controller may audit the Processor's compliance with this DPA no more than once per calendar year, with 30 days' written notice. The Processor shall make available relevant compliance reports, certifications, and third-party audit summaries. Remote audits are preferred; on-site audits shall be conducted at the Controller's expense.
This DPA shall remain in effect for the duration of the Agreement. Upon termination, the Processor shall, at the Controller's election, return or delete all Personal Data within 30 days. Deletion on termination is carried out by the Processor's staff on the Controller's written instruction, not by an automated process in the platform. Certification of deletion shall be provided upon request.
Enterprise customers can request a countersigned DPA by contacting support@procure-labs.com. We typically return signed DPAs within 2 business days.
