Terms of Service

1. Agreement to Terms

By accessing or using ProcureLabs™ Pte. Ltd. (“the Service”), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Service.

These terms apply to all users, including individual users, corporate accounts, and consultant partners.

2. Description of Service

ProcureLabs provides an AI-powered procurement intelligence platform that includes:

• Procurement analytics and spend intelligence
• AI-assisted recommendations and insights
• Risk assessment and monitoring tools
• Strategic planning and value engineering applications
• Document analysis and contract management
• Integration with third-party data sources

3. Account Registration and Age Restriction

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Age Requirement: You must be at least 18 years of age to use this Service. By creating an account, you represent and warrant that you are at least 18 years old. ProcureLabs is an enterprise B2B platform and is not directed at individuals under 18. We do not knowingly collect personal data from individuals under 18. If we become aware that a user is under 18, we will terminate their account and delete their data.

4. Subscription Plans and Billing

ProcureLabs offers various subscription tiers with different features and pricing:

• Free Trial: Limited access for evaluation purposes
• Monitor Plans: Basic monitoring and analytics capabilities
• Transform Plans: Advanced features including AI recommendations
• Enterprise Plans: Full platform access with dedicated support
• Consultant Plans: Multi-client management capabilities

Subscriptions are billed monthly or annually. You authorize us to charge your payment method for the applicable fees. Prices may change with 60 days' notice before the start of the next renewal term.

5. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. The Acceptable Use Policy sets out prohibited conduct, AI usage rules, rate limits, and enforcement procedures. You agree to comply with the Acceptable Use Policy as updated from time to time.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by ProcureLabs Pte. Ltd. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your data remains your property. You grant us a limited license to process your data solely for providing the Service. We do not claim ownership of your uploaded content.

7. AI-Generated Content

The Service uses artificial intelligence to generate insights and recommendations. You acknowledge that:

• AI-generated content is for informational purposes and should not replace professional judgment
• Recommendations are based on available data and may not account for all factors
• You are responsible for verifying information before making business decisions
• We do not guarantee the accuracy or completeness of AI-generated content

8. Limitation of Liability

To the maximum extent permitted by law, ProcureLabs Pte. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or business interruption
• Reliance on AI-generated recommendations
• Third-party service failures

Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

9. Indemnification

ProcureLabs Pte. Ltd. shall indemnify you against third-party claims arising from infringement of intellectual property rights by the Service or from a data breach caused by our negligence.

You agree to indemnify and hold harmless ProcureLabs Pte. Ltd. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service in violation of these Terms or applicable law, or from your data infringing third-party intellectual property rights.

10. Termination

Either party may terminate these Terms for convenience by providing sixty (60) calendar days' written notice. We may terminate or suspend your account immediately, without prior notice, for conduct that we believe materially violates these Terms and is not cured within fifteen (15) business days of written notice.

Upon termination, your right to use the Service will cease. You may export your data within 30 days of termination. If you have a Subscription Agreement, its termination terms shall prevail over this section to the extent of any conflict.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the non-exclusive jurisdiction of the courts of Singapore.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
